Terms & Conditions - EngineerBabu

  1. Acceptance of Terms

    By accessing our website (engineerbabu.com) or engaging EngineerBabu for any service, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our services.

  2. Services

    EngineerBabu provides custom software development, mobile app development, web development, AI/ML solutions, SaaS development, UI/UX design, cloud & DevOps services, and dedicated developer hiring. The specific scope, timeline, and pricing for each project are defined in a mutually agreed Statement of Work (SOW).

  3. Client Obligations

    The Client agrees to:

    • Provide accurate information, content, and timely feedback as required for the project.
    • Appoint an authorised point of contact for project decisions.
    • Ensure all materials provided do not infringe any third-party rights.
    • Make payments on time as per the agreed schedule.
    • Obtain all necessary legal approvals to operate the developed product.

  4. Payment Terms

    All payment details are specified in the project SOW. General terms:

    • Invoices are raised at agreed milestones or monthly for time & material projects.
    • Payment is due within 7-14 business days of invoice date.
    • Late payments may attract a charge of 1.5% per month.
    • All fees are exclusive of applicable taxes (GST or local taxes).
    • Payments for completed milestones are non-refundable.

  5. Intellectual Property

    Upon receipt of full payment, EngineerBabu assigns all intellectual property rights in the custom deliverables to the Client. Any pre-existing tools, frameworks, or libraries (Background IP) developed by EngineerBabu remain our property; a non-exclusive licence to use them as part of the delivered product is granted to the Client.

    EngineerBabu reserves the right to reference the project in its portfolio after the product is publicly launched, unless the Client requests otherwise in writing.

  6. Confidentiality

    Both parties agree to keep each other's confidential information strictly private and use it only for project purposes. These obligations do not apply to publicly available information or disclosures required by law. A separate NDA may be signed for sensitive projects.

  7. Warranties & Disclaimers

    EngineerBabu warrants that services will be performed with reasonable skill and care. A defect warranty period of 30-90 days post-launch is provided (as specified in the SOW) for bugs attributable to our work.

    Except as stated above, services are provided on an "as is" basis. We do not warrant uninterrupted or error-free operation, compliance with all regulations in the Client's jurisdiction, or availability of third-party APIs.

  8. Limitation of Liability

    EngineerBabu's total liability shall not exceed the fees paid by the Client in the three months prior to the event giving rise to the claim. We are not liable for loss of profits, indirect or consequential damages, or losses due to the Client’s failure to fulfil obligations.

  9. Termination

    Either party may terminate the engagement with 30 days' written notice. The Client shall pay for all work completed up to the termination date. Termination for material breach requires 15 days’ written notice to cure. Confidentiality, IP, liability, and governing law clauses survive termination.

  10. Data & Privacy

    EngineerBabu handles personal data in accordance with our Privacy Policy (engineerbabu.com/privacy-policy). Both parties agree to comply with applicable data protection laws, including India’s Digital Personal Data Protection Act 2023 (DPDPA) and GDPR where applicable.
